Effect of Termination: Upon termination, all licenses granted to you will immediately cease, and you must destroy all copies of Course Materials in your possession. Termination does not affect any rights or obligations that accrued prior to termination.

Survival: The following sections survive termination: Intellectual Property Rights, Disclaimer and Limitation of Liability, Indemnification, and Dispute Resolution.

Hitz Academy shall not be liable for any failure or delay in performing obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to:

Acts of God (earthquakes, floods, fires, storms, pandemics)
War, terrorism, or civil unrest
Government actions or regulations
Labor disputes or strikes
Internet or telecommunications failures
Power outages or equipment failures
Supplier or vendor failures

In the event of a force majeure situation, we will make reasonable efforts to resume access as soon as practicable.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Hitz Academy, Andrew Hitz, and their respective officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

Your violation of these Terms and Conditions
Your violation of any rights of another party

13. DISPUTE RESOLUTION

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law principles.

Arbitration Agreement: Any dispute, claim, or controversy arising out of or relating to these Terms or your enrollment in the course shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, rather than in court. The arbitration shall take place in the Commonwealth of Virginia, and judgment on the arbitration award may be entered in any court having jurisdiction.
